PhoText User Agreement I. General Provisions This Agreement is a legally binding agreement between you and PhoText (operated by Morling Technet Limited, hereinafter referred to as the "Platform") regarding your use of the Platform services. Before using the Platform services, you should carefully read and fully understand all the terms of this Agreement. By using any Platform service, you are deemed to have accepted all the contents of this Agreement. The Platform services include but are not limited to functions such as text replacement in images, image translation, photo-to-scan conversion, font recognition, as well as any other related services that the Platform may subsequently launch. II. User Eligibility and Obligations You must be at least 13 years old to independently use the Platform services. If you are under 13 years old, you must use the services with the consent and under the guidance of your legal guardian, and your legal guardian shall bear corresponding responsibility for your use. You undertake that, when using the Platform services, you will comply with applicable laws and regulations, public order and good customs, as well as relevant industry norms, and you will not use the Platform to engage in any illegal or non-compliant activities. You are responsible for the account information and activities associated with your account on the Platform. You shall properly keep your account and password. If your account is stolen or your information is leaked due to your own reasons, you shall bear all resulting losses. III. Service Use Rules The images and related content that you upload to the Platform must be legally owned by you or you must have the right to use them, and they must not infringe any third party's intellectual property rights, portrait rights, reputation rights, or other lawful rights and interests. If any dispute arises therefrom, you shall bear all responsibilities. The Platform shall not bear any responsibility and has the right, in accordance with relevant rules, to delete content, suspend or terminate services, and take other necessary measures. You shall not use the Platform services to produce, copy, publish, or disseminate any information containing the following content: - Information that violates applicable laws and regulations; - Information that endangers national security or damages national interests; - Information that undermines ethnic unity or incites ethnic hatred; - Information containing pornography, violence, terror, gambling, or other harmful content; - Information that insults or defames others or infringes upon the lawful rights and interests of others; - Any other information that violates the public interest or public order and good customs. You shall not carry out any form of attack, damage, or tampering with the Platform service system, and you shall not use the Platform to engage in any behavior that may affect the normal operation of the Platform, such as maliciously occupying network resources of the Platform or uploading a large number of invalid images. Without the permission of the Platform, you shall not conduct reverse engineering, reverse compilation, decryption, or similar acts on the Platform services, nor shall you copy, distribute, lease, sell, or authorize others to use the Platform services and related content without authorization. IV. Changes, Interruption and Termination of Services The Platform has the right, based on technological development, market demand, changes in laws and regulations, and other circumstances, to adjust, update, or optimize service contents, functions, interfaces, and so on. In case of any material change, the Platform will notify you in advance through reasonable means such as Platform announcements or pop-up prompts. If the services are interrupted or suspended due to force majeure, network failures, abnormalities of third-party services, or other factors beyond the control of the Platform, the Platform will make reasonable efforts to restore the services but will not be liable for any direct or indirect losses caused to you thereby. If you violate the provisions of this Agreement, the Platform has the right, depending on the severity of the circumstances, to take measures such as warning, restricting the use of certain functions, suspending services, or terminating services, and will not refund any fees you have paid (if any). You have the right to stop using the Platform services at any time. If you need to cancel your account, you may operate according to the procedures specified by the Platform. After account cancellation, the Platform will handle your personal data in accordance with relevant requirements. V. Intellectual Property Rights The Platform owns all intellectual property rights involved in the services, including but not limited to software programs, technologies, algorithms, interface designs, text, images, trademarks, patents, and so on. Without the prior written consent of the Platform, you shall not use, copy, distribute, transfer, or authorize others to use them. The modified images and other content generated through the Platform belong to you in terms of intellectual property rights, but when using such content, you shall not infringe upon the lawful rights and interests of the Platform or any third party. In the course of using the Platform services, you shall not infringe upon the intellectual property rights of the Platform or any third party. If any dispute arises therefrom, you shall bear all responsibilities. VI. Disclaimer The Platform only provides you with technical services such as image editing and does not assume responsibility for the authenticity, legality, or accuracy of the images you upload or the editing results. The Platform is not liable for any direct or indirect losses caused by your use of or inability to use the Platform services, unless such losses are caused by the Platform's willful misconduct or gross negligence. The Platform is not liable for service interruptions or losses caused by force majeure. Force majeure includes but is not limited to natural disasters, wars, government actions, cyber-attacks, and similar events. VII. Changes and Interpretation of the Agreement The Platform has the right to modify this Agreement based on actual circumstances. The modified Agreement will be published on the Platform and will take effect from the date of publication. If you continue to use the Platform services, you are deemed to have accepted the modified Agreement. The right of interpretation of this Agreement belongs to the Platform. Governing Law and Dispute Resolution The conclusion, validity, interpretation, performance of and dispute resolution under this Agreement shall be governed by the laws of the People's Republic of China. Any dispute arising out of or in connection with this Agreement shall first be resolved through friendly consultation between the parties. If no settlement can be reached through consultation, either party may file a lawsuit with the people's court having jurisdiction in the location of the Platform.
